1. Who we are

We Are Imaginary (Pty) Ltd, trading as Novel ("Novel", "we", "us" or "our"), is a private company registered in the Republic of South Africa, registration number 2023/500039/07. 2. What these terms cover

These terms govern the use of withnovel.com and Novel's software-as-a-service platform, websites and related tools (the "Platform"). Two kinds of people use the Platform:

  1. Venues: restaurants and similar businesses that subscribe to Novel. A Venue's use of the Platform is governed by the Venue Platform Agreement and the Fee Schedule, which the Venue accepts electronically when it submits the Registration Form. Where these terms and the Venue Platform Agreement differ, the Venue Platform Agreement prevails.
  2. Customers: end users who make a booking, pay a Deposit or purchase a Gift Card through the Platform. A Customer's booking is a contract with the Venue, not with Novel.

Capitalised terms not defined here have the meanings given in the Venue Platform Agreement.

3. What Novel does

Novel is an intermediary technology provider. The Platform enables online bookings and waitlists, collection of Deposits, Gift Card issuance and redemption, customer communication and review management, marketing tools, and reporting and analytics. Novel is not a venue and does not provide food, beverages or other hospitality services.

Novel acts as the Venue's limited agent to collect Deposits and Gift Card payments from Customers and to remit those amounts to the Venue, less applicable fees. Deposit terms, including refundability and no-show rules, are set by the Venue and displayed to Customers at checkout.

4. Prices and currency

All amounts on the Platform are in South African Rand (ZAR). Subscription Fees, Transaction Fees and Feature-Based Fees payable by Venues are set out in the Fee Schedule and summarised at withnovel.com/pricing. They exclude VAT, which is added at the prevailing rate. Deposit and Gift Card amounts are set by the Venue and shown to the Customer before payment. The Platform is offered to Venues operating in South Africa.
